Company Closure

Close your company officially, with no obligations left behind

A company that has stopped operating still has tax and reporting obligations until it is formally dissolved. We help you close it in the right order.

Service options

Closing a PT

Dissolution of the company through a GMS (general meeting of shareholders), liquidation, and removal of the legal entity.

Closing a CV

Ending the partnership and settling its administration.

Closing a PT PMA

Including coordination with the investment authorities.

What we handle

  • Drafting the GMS dissolution resolution with a notary
  • Supporting the liquidator in settling assets, debts, and employee entitlements
  • Publishing the dissolution notice in a newspaper and the State Gazette (Berita Negara)
  • Applying to the Ministry of Law to remove the legal entity
  • Settling final taxes and applying to deregister the NPWP
  • Deactivating BPJS (social security) memberships

What you need to prepare

  • Deed of establishment and the latest deed of amendment
  • Approval decree (SK) and company NIB
  • Company NPWP and latest tax filings
  • KTP of directors, commissioners, and shareholders
  • List of assets, debts, and active employees

How the process works

  1. Dissolution GMS

The shareholders decide to dissolve the company and appoint a liquidator. The decision is set out in a notarial deed.

  2. Announcement

The dissolution is announced so creditors have the chance to submit their claims.

  3. Liquidation

Debts, taxes, and employee entitlements are settled. Remaining assets are distributed to the shareholders.

  4. Removal of the legal entity

Once the liquidation report is approved, the application for removal is submitted to the Ministry of Law.

  5. Close the NPWP and BPJS

We apply to deregister the NPWP and deactivate BPJS, then hand over all documents for your records.

Good to know

  • A company left inactive without being closed is still considered to have tax reporting obligations, so penalties can keep accruing.

The liquidator is appointed by the GMS. It can be the directors themselves or another party agreed by the shareholders.

Which documents should I keep after the company is closed?

The deed of dissolution, the liquidation report, the letter from the Ministry of Law, and tax documents. We hand all of them over to you in digital form.
